Banknorth Group, Inc. to Hold Special Shareholder Meeting on Friday, Feb. 18 in South Portland

PORTLAND, Maine - Banknorth Group, Inc. (NYSE: BNK) has announced that a special meeting of the Banknorth shareholders will be held at the Marriott Sable Oaks in South Portland, Maine beginning at 10 a.m. EST on February 18, 2005 to vote on, among other subjects, the proposed merger with The Toronto-Dominion Bank.

A live webcast of the meeting can be found at the Investor Relations section of the Banknorth website at www.banknorth.com. Shortly after the meeting, a replay of the webcast will be available for a period of 30 days from the Investor Relations section of the Banknorth website as listed above.
